On October 23, 2024, Now CFO and Silicon Slopes Finance Chapter will host a panel: Preparing your SaaS Company for a Tax-Free Exit.
It will be insightful discussion on advanced tax strategies for founders, executives, and investors striving towards an exit. Panelists from Eide Bailly will provide key strategies for reducing income and transfer tax.
Among other topics, the presentation will cover:
- The benefits of excluding taxable gain upon sale of qualified small business stock (QSBS), including opportunities to “stack” multiple $10 million exclusions
- Diversification and tax deferral strategies, including exchange funds and charitable remainder unitrusts
- Strategies to reduce California state income tax, notwithstanding recent changes to the Revenue and Taxation Code
- Gift and estate tax saving strategies.

Speakers include Josh Rowley and Adam Sweet of Eide Bailly.
Rowley leads Eide Bailly's Technology Industry Service group. He has been working primarily with SaaS companies since 2015. His technical areas of focus include mergers and acquisitions, entity formation and reorganization, R&D tax credit, state income tax, sales tax and 1202 stock. His focus is creating enterprise value in preparation for an equity transaction. He is passionate about creating uniquely great outcomes. He has helped many founders sell their companies.
Sweet leads Eide Bailly's Passthrough Entity Consulting group. He has extensive knowledge in the area of partnership tax, including interpreting partnership agreements, allocation and distribution provisions, and issuing compensatory equity. He is also experienced with both the buying and selling sides of domestic and foreign joint ventures, tax credit partnerships and a variety of IRS controversy matters. Sweet also leads Eide Bailly’s Opportunity Zone working group. He has a talent for distilling tax rules into concepts that can be understood by non-tax professionals. He is responsive and transparent with clients, and always takes an open ear to his interactions, listening carefully to understand all sides of an issue before reaching any conclusions.
